7. STANDARD OF CARE AND LIABILITIES 7.1 KEB and CEB will use reasonable care in performing its obligations under this Agreement and will not be in violation of this Agreement with respect to any matter as to which it has satisfied its obligation of reasonable care. 7.2 KEB will be liable for CEB’s direct damages to the extent they result from KEB’s negligence or wilful misconduct in performing its duties as set out in this Agreement. 7.3 CEB will be liable for KEB’s direct damages to the extent they result from CEB’s negligence or wilful misconduct in performing its duties as set out in this Agreement. 7.4 CEB shall not incur any liability to KEB or ant relevant parties for doing or failing to do (as the case may be)any act or thing by reason of compliance with any provision of the Applicable Laws then in force, or of any decree, order of judgement of the PRC court inwritten notice.
A provision of rules of arbitration is not inconsistent with the Model Law or this Part merely because it provides for a matter which is covered by a provision of the Model Law or this Part which allows the parties to make their own arrangements by agreement but which applies in the absence of such agreement.
Unless the contrary intention appears in this Constitution, an expression has, in a provision of this Constitution that deals with a matter dealt with by a particular provision of the Corporations Act, the same meaning as in that provision of the Corporations Act.
“Affiliate” means, with respect to any person, another person who directly, or indirectly through one or more intermediaries, controls, is controlled by or is under common control with such first person.
any reference to "persons" includes natural persons, firms, partnerships, companies, corporations, associations, organisations, governments, states, governmental or state agencies, foundations and trusts (in each case whether or not having separate legal personality and irrespective of the jurisdiction in or under the law of which it was incorporated or exists);
