Appointment of mediator

委任調解員

62.—(1) In any case where an agreement provides for the appointment of a mediator by a person who is not one of the parties and that person refuses to make the appointment or does not make the appointment within the time specified in the agreement or, if no time is so specified, within a reasonable time of being requested by any party to the agreement to make the appointment, the Chairperson of the Singapore Mediation Centre may, on the application of any party to the agreement, appoint a mediator who is to have the like powers to act in the mediation proceedings as if he or she had been appointed in accordance with the terms of the agreement. 

凡有協議規定由不屬於當事人的某人委任調解員,但此人拒絕委任調解員或者在協議指明的時間內沒有委任,或者如果協議沒有指明委任調解員的時間,此人在協議任何一方當事人要求其委任調解員的合理時間內沒有委任,則新加坡調解中心主席可以按照協議任何一方當事人的申請委任一位調解員,該調解員在調解程序中所享有的辦事權力一如他或她是原本是依照協議的條件獲得委任的調解員。

(2) The Chief Justice may, if he or she thinks fit, by notification in the Gazette, appoint any other person to exercise the powers of the Chairperson of the Singapore Mediation Centre under subsection (1). 

首席大法官如認為合適,可在《憲報》刊登公告,委任其他人士行使新加坡調解中心主席根據第(1)款享有的權力。

(3) Where an arbitration agreement provides for the appointment of a mediator and further provides that the person so appointed is to act as an arbitrator in the event of the mediation proceedings failing to produce a settlement acceptable to the parties  

(a)   no objection is to be taken to the appointment of that person as an arbitrator, or to that person’s conduct of the arbitral proceedings, solely on the ground that that person had acted previously as a mediator in connection with some or all of the matters referred to arbitration; and 

(b)  if that person declines to act as an arbitrator, any other person appointed as an arbitrator is not required first to act as a mediator unless a contrary intention appears in the arbitration agreement. 

(3) 凡仲裁協議規定委任一名調解員,並進而規定一旦調解程序不能實現可為各方當事人接受的解決安排,將由被委任的人擔任仲裁員,

(a)   不得僅以該人原來擔任調解員處理被提交仲裁的部分或全部事項為理由,反對委任該人為仲裁員或反對該人進行仲裁程序;

(b)  如果該人拒絕擔任仲裁員,除非仲裁協議表示相反的意圖,否則被委任為仲裁員的其他人士不必首先擔任調解員。

(4) Unless a contrary intention appears therein, an agreement which provides for the appointment of a mediator is deemed to contain a provision that in the event of the mediation proceedings failing to produce a settlement acceptable to the parties within 4 months, or any longer period that the parties may agree to, of the date of the appointment of the mediator or, where the mediator is appointed by name in the agreement, of the receipt by the mediator of written notification of the existence of a dispute, the mediation proceedings are to thereupon terminate.

凡一份協議對委任調解員作出規定,除非該協議表示相反的意圖,否則視為該協議載有這樣一個條文,即一旦自委任調解員之日起四個月內或者在各方當事人可能約定的任何更長期限內,或者,如果調解員是在該協議中以指名方式獲得委任,則一旦自調解員收到關於存在爭議的書面通知之日起四個月內或在當事各方可能約定的任何更長期限內,調解程序未能達成可為各方當事人接受的解決辦法,調解程序應隨即終止。

63.—(1) If all parties to any arbitral proceedings consent in writing and for so long as no party has withdrawn the party’s written consent, an arbitrator may act as a mediator. 

如果仲裁程序的所有當事人均以書面形式表示同意,並且只要沒有任何一方撤回其書面同意,仲裁員即可擔任調解員。

(2) An arbitrator acting as a mediator — 

(a)   may communicate with the parties to the arbitral proceedings collectively or separately; and 

(b)  must treat information obtained by him or her from a party to the arbitral proceedings as confidential, unless that party otherwise agrees or unless subsection (3) applies.

(2) 擔任調解員的仲裁員

(a)   可以與仲裁程序的各方當事人集體溝通或分別溝通;

(b)  必須對其從仲裁程序一方當事人那裡獲得的資訊保密,除非該當事人同意無須保密或除非適用第(3)款的規定。

(3) Where confidential information is obtained by an arbitrator from a party to the arbitral proceedings during mediation proceedings and those proceedings terminate without the parties reaching agreement in settlement of their dispute, the arbitrator must before resuming the arbitral proceedings disclose to all other parties to the arbitral proceedings as much of that information as he or she considers material to the arbitral proceedings. 

凡仲裁員在調解程序中從仲裁程序的一方當事人那裡獲得機密資訊,而調解程序終止時各方當事人未就解決其爭議達成協議,則仲裁員必須在恢復仲裁程序之前向仲裁程序的所有其他當事人悉數披露其認為對仲裁程序具有重要關係的資訊。

(4) No objection is to be taken to the conduct of arbitral proceedings by a person solely on the ground that that person had acted previously as a mediator in accordance with this section.

(5) For the purposes of this section and section 62 — 

(a)   any reference to a mediator includes a reference to any person who acts as a conciliator;

(b)  any reference to mediation proceedings includes a reference to conciliation proceedings.

(5) 就本条和第62条而言:

(a)   所稱之調解員均包括擔任調停人的人在內;

(b)  所稱之調解程序均包括調停程序在內。

【要點解析】

筆者將mediator譯為調解員,將conciliator譯為調停人譯名僅為行文方便,還要結合具體語境分析判斷其實質涵義。

下面這段文字引自《布萊克法律詞典》的編纂者Bryan A. Garner的著作。笔者的参考译文附后,供读者参考。

“The distinction between mediationand conciliation is widely debated among those interested in ADR, arbitration, and international diplomacy. Some suggest that conciliation is ‘a nonbinding arbitration,’ whereas mediation is merely ‘assisted negotiation.’ Others put it this way: conciliation involves a third party’s trying to bring together disputing parties to help them reconcile their differences, whereas mediation goes further by allowing the third party to suggest terms on which the dispute might be resolved. Still others reject these attempts at differentiation and contend that there is no consensus about what the two words mean---that they are generally interchangeable. Though a distinction would be convenient, those who argue that usage indicates a broad synonym are most accurate.”

筆者引述《貿易法委員會國際商事調解和調解所產生的國際和解協議示範法》(2018 年)(UNCITRAL Model Law on International Commercial Mediation and International Settlement Agreements Resulting from Mediation, 2018)的條文及官方譯文供讀者參考。

第一條第3款,

For the purposes of this Law, “mediation” means a process, whether referred to by the expression mediation, conciliation or an expression of similar import, whereby parties request a third person or persons (“the mediator”) to assist them in their attempt to reach an amicable settlement of their dispute arising out of or relating to a contractual or other legal relationship. The mediator does not have the authority to impose upon the parties a solution to the dispute.

在本法中,調解指當事人請求一名或者多名第三人(調解員)協助其設法友好解決合同關係或者其他法律關係所產生的或者與之相關的爭議的過程,而不論此種過程以調解或者類似含義的措詞稱謂。調解員無權將解決爭議的辦法強加于當事人。

下面是貿易法委員會网站上的说明(红字为笔者标示):

The Model Law was initially adopted in 2002. It was known as the "Model Law on International Commercial Conciliation", and it covered the conciliation procedure. The Model Law has been amended in 2018 with the addition of a new section on international settlement agreements and their enforcement. The Model Law has been renamed "Model Law on International Commercial Mediation and International Settlement Agreements Resulting from Mediation". In its previously adopted texts and relevant documents, UNCITRAL used the term "conciliation" with the understanding that the terms "conciliation" and "mediation" were interchangeable. In amending the Model Law, UNCITRAL decided to use the term "mediation" instead in an effort to adapt to the actual and practical use of the terms and with the expectation that this change will facilitate the promotion and heighten the visibility of the Model Law. This change in terminology does not have any substantive or conceptual implications.
