AAA’s entrance into Canada’s capital markets was effected by means of a “reverse takeover.” In a reverse takeover, a public shell company acquires a private company that is seeking to become public. The private company (Sino, in this case) becomes public without the scrutiny of an IPO.
In a takeover situation, the directors are in a strategic position, and it is natural that individual shareholders should look to them for advice. However, it is no part of the duty of directors to the company to give advice to individual shareholders regarding the purchase of their shares.
In practice, the concept of a dominant purpose is not easy to apply. Therefore, acting bona fide in the interests of the company is not an excuse for acting for a dominant improper purpose, especially where the directors are acting in their own self-interest, such as when they issue shares to defeat a takeover bid and maintain their own positions as directors.
The directors issued shares with special voting rights to trustees of an employee share scheme, and made a loan to enable the trustee to purchase more shares. This was part of an attempt to forestall a takeover bid.
