Design Verification.  Company shall verify each Deliverable and Final Deliverable upon receipt and shall give Jabil written notice of any rejection of a Deliverable or Final Deliverable for failure to materially conform to the SOW or the Specifications due solely to a material breach by Jabil (“Defect”) within ten (10) business days following Company’s receipt of a Deliverable; and thirty (30) days following Company’ receipt of the final Deliverable (“Acceptance Period”). Such written notice of rejection shall include a detailed and complete description of Company’s basis for asserting the alleged Defect (“Notice of Defect”). If Company fails to provide such Notice of Defect to Jabil within the Acceptance Period, such Deliverable or Final Deliverable shall be deemed accepted by Company and any corresponding Milestone completed. If Jabil determines that any such Deliverable or Final Deliverable does in fact contain a Defect; then Jabil will correct such Defect at no additional charge to Company for any additional NRE Costs that directly arise from such correction efforts and redeliver the corrected Deliverable or Final Deliverable as soon as commercially practicable. The acceptance procedures set forth in this Section 3.4 shall apply to any redelivered Deliverable or Final Deliverable.
